Welcome to Phantoma.ai ("Phantoma," "we," "us," or "our"). By accessing or using our website, applications, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

1. Definitions

• "User" means any individual who creates an account or uses the Services.
• "Content" means any text, scripts, images, thumbnails, videos, or other materials created by or through the Services.
• "Output" means AI-generated content produced by the Services, including scripts, thumbnails, and videos.
• "Project" means a user-created workspace within the Services containing topics, settings, and generated Content.
• "Subscription" means a recurring paid plan granting access to the Services.

2. Eligibility

You must be at least 16 years of age to use the Services. By creating an account, you represent that you meet this requirement and that the information you provide is accurate and complete.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. Description of Services

Phantoma.ai is an AI-powered platform for generating faceless video content. The Services include AI-driven topic research, script generation, thumbnail creation, and video production. Features and availability may change at our discretion.

5. Subscriptions and Payment

• Subscriptions are billed on a recurring basis (monthly or annually) and renew automatically unless cancelled before the renewal date.
• All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record. By purchasing a Subscription, you also agree to Paddle's terms of service.
• Subscription fees are generally non-refundable for the current billing period. You may cancel at any time; your access will continue until the end of the paid period.
• We reserve the right to change pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.
• Free-tier usage is limited and subject to the quotas described on our pricing page.

6. Refund Policy

• All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions.
• You may request a refund within 14 days of your initial Subscription purchase if you have not generated any video content using the Services during that period.
• Renewal charges (monthly or annual) are non-refundable once the new billing period has begun. You may cancel your Subscription at any time to prevent future charges; your access will continue until the end of the current paid period.
• If you experience a technical issue that prevents you from using the Services and we are unable to resolve it within a reasonable timeframe, you may be eligible for a pro-rated refund at our discretion.
• To request a refund, contact us at support@phantoma.ai with your account email and a description of the issue. We aim to respond to all refund requests within 5 business days.

7. Content Ownership and License

Your Content

You retain ownership of any original content you provide to the Services (e.g., topics, custom instructions). You grant Phantoma a limited, non-exclusive, worldwide license to use this content solely to provide and improve the Services.

AI-Generated Output

Subject to your compliance with these Terms and an active Subscription (where applicable), you own the Output generated through your use of the Services. You may use Output for personal and commercial purposes.

We do not guarantee that Output is unique, original, or free from similarity to other content. AI-generated works may not qualify for copyright protection in all jurisdictions. You are solely responsible for evaluating and using Output.

Our License

We may use anonymized, aggregated data derived from usage of the Services for product improvement and analytics. We will not use your specific Content to train AI models without your explicit consent.

8. Acceptable Use

You agree not to use the Services to create, distribute, or promote:

• Illegal content or content that facilitates illegal activity
• Sexually explicit, pornographic, or obscene material
• Content that promotes violence, hatred, harassment, or discrimination
• Misinformation, disinformation, or deceptive content designed to mislead
• Content targeting, exploiting, or endangering minors
• Content that infringes on the intellectual property rights of others
• Spam, phishing, or unauthorized commercial solicitations
• Content that impersonates real individuals without their consent
• Content designed to manipulate elections or political processes
• Malware, exploits, or content intended to harm computer systems

We reserve the right to remove Content and suspend or terminate accounts that violate these rules, at our sole discretion and without prior notice.

9. Intellectual Property

All rights, title, and interest in the Services, including but not limited to software, design, logos, and documentation, are owned by Phantoma or its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written permission.

10. Third-Party Services

The Services integrate with third-party providers for video generation, image generation, and payment processing. These third-party services are not operated by us, and we are not responsible for their availability, performance, accuracy, or data handling practices. Your use of third-party services is subject to their respective terms and policies.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted or error-free; (b) AI-generated Output will be accurate, complete, or free from bias; (c) Output will be suitable for any particular purpose; or (d) defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHANTOMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Phantoma and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your Content or Output; or (d) your violation of any third-party rights.

14. Termination

• You may terminate your account at any time by contacting us or deleting your account through the Services.
• We may suspend or terminate your access for material breach of these Terms. Where the breach is curable, we will provide 14 days' notice to remedy it. We may terminate immediately for illegal use or egregious violations.
• Upon termination, your right to use the Services ceases immediately. Pre-paid fees are non-refundable. We may delete your Content and data after a reasonable period following termination.
• Sections relating to ownership, liability, indemnification, and disputes survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Phantoma operates, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent courts in that jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
